摘 要 控制治理是指對企業各項治理活動在執行過程中行爲的監視和約束。控制治理過程是透過制定企業的治理制度、確保企業各項政令的執行外還必須重視各層級執行資訊的反饋、執行過程中數據的收集、整理分析，並依此作爲有效控制企業的依據。控制治理是對組織執行行爲的約束，亦即使組織內所有治理活動和執行治理活動的行爲嚴格在組織預定的軌道上執行，因此在企業中控制治理必然越來越受到企業決策者的重視。筆者以爲內部控制整體框架除了內部治理控制、企業外部治理控制和治理控制程序外上述三項過程治理外，還應包括建立使以上治理控制有效執行的控制治理架構，這是企業發展到一定階段的必然需要，必將在企業經營過程中起到越來越重要的作用。

企業的治理在於確保組織內的要素在一定框架下實現組織的經營目標，而控制治理就是要對組織的治理行爲進行必要約束，使其在限制條件下保障組織目標的實現。企業的經營治理不僅涉及組織內部人財物、產供銷的治理，同時還涉及企業的決策治理、企業文化的培育、外部環境的分析以及政策影響力分析等方面，隨着經濟的飛速發展和貿易競爭的日益激烈，對企業的治理也提出了新的要求，不僅要規範企業治理結構、提升企業治理水平，更要注重防範企業治理過程中產生的潛伏經營風險。本文所論述的控制治理是指對企業各項治理活動在執行過程中行爲的監視和約束。每個企業裏都會有各種治理制度和治理方法，來確保組織內的所有職員按照預定措施來實現企業的方針目標，在新的控制治理體系中，治理者除了制定企業的治理制度、確保企業各項政令的執行外還必須重視各層級執行資訊的反饋、執行過程中數據的收集、整理分析，並依此作爲有效控制企業的依據，這就是控制治理過程。在企業經營過程中，企業治理固然重要，但對企業治理的控制、對企業監視人的約束、對企業經營風險的熟悉、預防和控制更爲重要。治理控制是針對組織活動過程的治理，而控制治理是對組織執行行爲的約束，亦即使組織內所有治理活動和執行治理活動的行爲嚴格在組織預定的軌道上執行，因此在企業中控制治理必然越來越受到企業決策者的重視。
